Terms of Use
These terms set the basic rules for using Oceli's website and explain the standard limitations, ownership rights, and legal framework that apply.

1. Acceptance of These Terms
These Terms of Use ("Terms") govern your access to and use of the Oceli website, pages, content, forms, and related online features (collectively, the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
"Terms of Use," "Terms of Service," and "Terms and Conditions" are commonly used labels for the same type of website agreement. We use "Terms of Use" here because this Site is primarily an informational company website.
2. Changes to the Site or Terms
We may update the Site and these Terms from time to time. If we update these Terms, we will revise the effective date above. Your continued use of the Site after changes are posted means you accept the updated Terms.
3. Eligibility and Use of the Site
You may use the Site only if you can form a binding contract with Oceli and only in compliance with these Terms and applicable law. You are responsible for your use of the Site and for any information you submit.

- Do not interfere with, disrupt, overload, scan, probe, or compromise the Site or related systems.
- Do not attempt to access non-public areas, accounts, systems, or data without authorization.
- Do not copy, scrape, harvest, or use automated systems to extract Site content except as allowed by law or with our written permission.
- Do not submit malicious code, infringing content, or information you do not have the right to provide.
4. Intellectual Property
The Site and its content, including text, graphics, logos, images, code, designs, and other materials, are owned by Oceli or its licensors and are protected by intellectual property and other laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable permission to access and use the Site for personal or internal business purposes.
Except for that limited permission, no rights are granted to you. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, or otherwise exploit Site content without our prior written permission or another valid legal basis.
5. Feedback
If you send us ideas, suggestions, comments, or other feedback, you grant Oceli a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation to you. Do not send feedback you consider confidential or proprietary.
6. Careers and Submissions
If you submit a job application, resume, GitHub or LinkedIn profile, message, or other materials through the Site or by email, you represent that the information is accurate and that you have the right to provide it. Submitting an application does not create an employment relationship, contract, or guarantee of review, interview, or employment.

7. Third-Party Links and Services
The Site may contain links to third-party websites, platforms, or services. We provide those links for convenience only. Oceli does not control and is not responsible for third-party content, policies, security, or practices. Your use of third-party services is at your own risk and may be governed by separate terms and policies.
8. No Professional Advice
Site content is provided for general informational purposes only. It is not professional, technical, legal, financial, employment, or other advice, and you should not rely on it as such.
9. Disclaimers
The Site and all content are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Oceli disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and security.
We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any content will be accurate, complete, or current.
10. Limitation of Liability
To the fullest extent permitted by law, Oceli and its officers, directors, employees, contractors, agents, affiliates, successors, and assigns will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenues, lost data, goodwill, or business interruption, arising out of or related to the Site or these Terms.
To the fullest extent permitted by law, Oceli's total liability for any claim arising out of or related to the Site or these Terms will not exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
11. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Oceli and its officers, directors, employees, contractors, agents, affiliates, successors, and assigns from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Site, your submissions, your violation of these Terms, or your violation of law or third-party rights.
12. Governing Law
These Terms and any dispute arising out of or related to the Site are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law principles. You and Oceli agree to the personal jurisdiction and venue of the state and federal courts located in Delaware for disputes that are not subject to a valid arbitration agreement or other required forum.
13. Termination
We may suspend, restrict, or terminate access to the Site at any time and for any reason, including if we believe you violated these Terms. Sections that by their nature should survive termination will survive, including intellectual property, feedback, disclaimers, limitation of liability, indemnification, governing law, and general provisions.
14. General Provisions
These Terms are the entire agreement between you and Oceli regarding the Site. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
